Terms of Service

1. Acceptance of Terms

By accessing, registering on, or using the CommBridge platform (“Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and CommBridge Ltd (“CommBridge”, “we”, “us”). We reserve the right to update these Terms at any time, and continued use of the Platform following any changes constitutes acceptance of the revised Terms.

2. Definitions

For the purposes of these Terms, the following definitions apply:

  • “Platform” — The CommBridge website, mobile applications, APIs, and all related services and tools.
  • “User” — Any individual or legal entity that registers for or accesses the Platform.
  • “Buyer” — A User who purchases or seeks to purchase commodities through the Platform.
  • “Seller” — A User who lists or offers commodities for sale through the Platform.
  • “Transaction” — Any trade, purchase, sale, or exchange of commodities facilitated through the Platform.
  • “Escrow” — The secure holding of funds by CommBridge or its designated escrow agent during a Transaction, released upon fulfilment of agreed conditions.

3. Account Registration

Eligibility

You must be at least 18 years of age and/or a duly constituted legal entity to register for and use the Platform. By registering, you represent and warrant that you meet these eligibility requirements.

Accuracy of Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times. Providing false or misleading information may result in immediate suspension or termination of your account.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify CommBridge immediately of any unauthorised use of your account or any other breach of security.

4. User Obligations

Truthful Listings

Sellers must ensure that all product listings are accurate, truthful, and not misleading. This includes descriptions, specifications, pricing, availability, origin, and quality certifications.

Compliance with Laws

Users must comply with all applicable local, national, and international laws and regulations, including but not limited to trade, export control, sanctions, and commodity-specific regulations.

Prohibited Activities

The following activities are strictly prohibited on the Platform:

  • Fraud, misrepresentation, or deceptive practices
  • Money laundering or terrorist financing
  • Sanctions evasion or dealing with sanctioned parties
  • Listing illegal, counterfeit, or restricted commodities
  • Manipulation of platform ratings, reviews, or trust scores
  • Harassment, abuse, or threats against other Users
  • Unauthorized access to other Users' accounts or data

5. Transactions

Escrow Terms

All transactions may utilise CommBridge's escrow service. Funds are held securely and released only when both the Buyer and Seller have confirmed that the agreed conditions have been met, or as otherwise determined through the dispute resolution process.

Payment Processing

Payments are processed through our authorised payment service providers. CommBridge is not a bank or financial institution. All payment processing is subject to the terms and conditions of the respective payment providers.

Dispute Resolution

In the event of a dispute between Buyer and Seller, CommBridge provides a structured dispute resolution process. Both parties agree to participate in good faith. CommBridge may, at its discretion, render a decision regarding escrow fund disbursement based on available evidence.

Cancellation Policy

Transactions may be cancelled in accordance with the specific terms agreed upon by the parties. Cancellation fees may apply depending on the stage of the transaction. Once goods have been shipped, cancellation may not be possible without mutual consent.

6. Verification

KYC/AML Requirements

All Users are required to complete Know Your Customer (KYC) and Anti-Money Laundering (AML) verification before engaging in transactions. This process is mandatory and non-negotiable.

Document Submission

Users must submit valid identification documents, proof of address, company registration documents (where applicable), and any other documentation reasonably requested by CommBridge during the verification process.

Interview Process

CommBridge may require Users to participate in a video interview as part of the enhanced due diligence process. Refusal to participate may result in restricted access to certain Platform features.

7. Intellectual Property

Platform Ownership

The Platform, including all software, designs, logos, trademarks, content, and documentation, is the exclusive property of CommBridge Ltd. No User is granted any right, title, or interest in the Platform beyond the limited licence to use it in accordance with these Terms.

User Content Licence

By uploading content (including product listings, images, and documents) to the Platform, you grant CommBridge a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute such content solely for the purpose of operating and promoting the Platform.

8. Limitation of Liability

CommBridge operates as a marketplace and facilitator. CommBridge is not a party to transactions between Buyers and Sellers.

To the maximum extent permitted by applicable law, CommBridge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Platform. CommBridge's total liability for any claim arising from these Terms shall not exceed the fees paid by you to CommBridge in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless CommBridge Ltd, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you upload or submit through the Platform.

10. Termination

Termination by User

You may close your account at any time by contacting our support team. Account closure does not release you from any obligations arising from Transactions entered into prior to termination.

Termination by CommBridge

CommBridge reserves the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms, suspected fraud, regulatory requirements, or any other reason at our sole discretion. Upon termination, your right to use the Platform ceases immediately.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
